Terms of Service

An agreement between you — the business using SellyPOS — and Selly Systems ("we", "us"), based in Gujrat, Pakistan. By installing or using SellyPOS, you accept these terms. If you do not accept them, do not use the software.

1Definitions

2Licence

We grant you a non-exclusive, non-transferable licence to install and use the Software on the number of devices your subscription permits, for your own business.

You may not: resell, rent or sublicense it; reverse-engineer it except where the law expressly permits; remove notices from it; or use it to build a competing product.

3Your account

You must give accurate registration details and keep them current. You are responsible for everything done under your account. Tell us promptly at support@sellypos.com if you believe it has been compromised.

You must be at least 18 and legally able to enter into this agreement on behalf of your business.

4Your data is yours, and so is looking after it

You own Your Data. We claim no rights over it.

Because SellyPOS stores Your Data on your own computer, you are responsible for backing it up. The Software provides backup tools; using them is your decision. We hold no copy and cannot recover Your Data if your computer is lost, stolen, damaged or wiped.

We strongly recommend a regular backup to a separate device.

5The Recovery Key Read this

When you set up SellyPOS you are given a Recovery Key. It is the means by which administrator access is restored if the administrator password is forgotten.

Your obligations:

  • Write it down and keep it somewhere safe and private. Do not leave it where staff or customers can read it — anyone holding it can reset the administrator password at your computer.
  • Depending on your version, the Recovery Key does not change after it is used. If it has been read aloud, seen or copied, treat it as compromised and contact support.
  • If your version keeps the key only on your computer, and you lose both the key and the administrator password, we cannot restore your access. There is no override we are withholding; the software is built so that no such override exists. You would need to reinstall, and Your Data would only be recoverable from your own backup.

What we do: where your version registers with our Service, our support team can help you recover administrator access by telephone, after verifying your identity against the details you registered. We may refuse where identity cannot be established to our reasonable satisfaction.

What we never do: we do not hold, and cannot tell you, your password. We cannot access your point-of-sale system remotely.

6Offline operation and availability

The Software is designed to work without an internet connection and does not require one to sell, print, log in, back up or export.

An internet connection is required to create your account, and may be required for optional online features. We do not guarantee uninterrupted availability of the Service, and we may perform maintenance. Where the Service is unavailable, the Software continues to operate offline.

7Tax, accounting and FBR compliance Important

SellyPOS lets you configure tax rates, tax categories and invoicing behaviour, including features intended to support digital invoicing requirements of the Federal Board of Revenue.

SellyPOS does not decide your tax treatment, and we do not provide tax, accounting or legal advice. Tax rates, categories, exemptions, registration status and filing obligations are configuration that you are responsible for setting correctly, and for keeping correct as the law changes.

You remain solely responsible for the accuracy, completeness and lawfulness of every return, invoice and submission you make. We are not liable for any penalty, assessment, interest or loss arising from an incorrect configuration, an incorrect entry, or a change in law or in a tax authority's requirements.

Where the Software transmits to a government system, transmission depends on that system's availability and rules, which are outside our control.

8Acceptable use

You must not use the Software to break the law; to record transactions you know to be false; to evade tax; to process data you have no right to process; to attack or interfere with the Service; or to attempt to circumvent licensing or authentication.

9Fees

SellyPOS is free to use during early access. We are not charging for the Software or the Service at this time, and no payment details are required to install or run it.

We may introduce paid plans in future. If we do, the fees and what they cover will be published at sellypos.com, and we will give you at least 30 days' notice before any charge applies to you. You are free to stop using the Software rather than accept a fee.

Where fees do apply, they are exclusive of taxes unless stated. Unless the law requires otherwise, fees already paid are non-refundable. We will give at least 30 days' notice before a price change affecting you.

10Support

We provide support by the channels published at sellypos.com, during our published hours. Identity verification is required before we assist with account recovery. We may decline requests that are abusive, or that would require us to act against these terms.

11Intellectual property

The Software, its design, and all associated trade marks belong to us and our licensors. Feedback you send us may be used without obligation or payment to you, and does not transfer any right in Your Data.

12Third-party services

Sign in with Google is provided by Google LLC under Google's own terms. Hardware — printers, scanners, cash drawers — is supplied by third parties under their own warranties. We are not responsible for third-party services or hardware, though we will make reasonable efforts to help you make supported devices work.

13Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care.

Otherwise, and to the fullest extent the law permits, the Software is provided "as is", without warranty of any kind — express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that it will meet every requirement of your business.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

14Limitation of liability

To the fullest extent the law permits:

  • We are not liable for loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or for any indirect or consequential loss.
  • We are not liable for loss of Your Data, which is stored on your computer and which you are responsible for backing up under §4.
  • We are not liable for tax penalties or assessments arising as described in §7.
  • Our total aggregate liability arising out of this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

15Indemnity

You will indemnify us against claims arising from your unlawful use of the Software, from Your Data, or from your breach of these terms.

16Suspension and termination

You may stop using the Software at any time and ask us to close your account.

We may suspend or terminate your licence if you materially breach these terms, if you do not pay, or if we are required to by law. We will give notice and a reasonable chance to fix the problem where the circumstances allow.

On termination, Your Data remains on your computer. We do not delete it and we cannot retrieve it. Optional online features stop; the Software's local functions behave as your licence terms provide.

17Changes to these terms

We may revise these terms. Material changes will be published here and notified by email or in the application at least 30 days before they take effect. Continuing to use the Software after that date means you accept the revision.

18Governing law

These terms are governed by the laws of the Islamic Republic of Pakistan. The courts at Gujrat have exclusive jurisdiction, save that either party may seek urgent injunctive relief in any competent court.

19General

If any provision is held unenforceable, the rest stands. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it to a successor of our business. These terms and the Privacy Policy are the entire agreement between us about the Software.
